CCP Clears Acquisition of MTML Shares from Chinese Investors
The Competition Commission of Pakistan (CCP) has cleared the acquisition of shares in Masood Textile Mills Limited (MTML) by UAE-based Velora Global Ventures-F.Z.C., following its Phase-I competition review.
The transaction involves the acquisition of shares held by two Chinese investors, Shanghai Challenge Textile Company Limited and Zhejiang Xinao Industry Company Limited, under a Share Purchase Agreement signed on July 27, 2026.
Velora Global Ventures, incorporated in Ajman Free Zone in 2025, operates in textile and clothing wholesale trading and commercial brokerage. Its associated companies are also involved in international textile sourcing, trading, customer development and order coordination.
For its competition assessment, the CCP identified yarn and knitted fabric as the relevant product market and Pakistan as the geographic market. The Commission noted that Velora had no existing market presence in Pakistan and concluded that the transaction was unlikely to materially affect MTML’s output, domestic sales or market position.
The CCP subsequently authorised the transaction under Section 31(1)(d)(i) of the Competition Act, 2010, finding no significant competition concerns arising from the acquisition.
The development highlights continued cross-border investment activity in Pakistan’s manufacturing and export-oriented sectors, while the CCP noted that effective merger-control mechanisms can provide regulatory certainty and support foreign investment and business expansion.
